    • Definitions and interpretations

      The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.
      In these Terms and Conditions, except where the context otherwise requires, the following terms will have the following meanings:

      Application means the software program provided by the Company (as defined below) downloaded by the users on any electronic device, named HELPS

      Account means the account associated with the user's email address.

      Client(s) means the individual accessing or using the Service, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.

      Country refers to the United States of America.

      Company (also referred to as “HELPS”, “We”, “Us” or “Our”) refers to HELPS.

      General Terms and Conditions (also referred as “GTC” or “Terms”) mean these Terms and Conditions that form the entire agreement between the Client or the Coach (as defined below) and HELPS regarding the use of the Service.

      Users, You, Your shall collectively refer to the Client and the Coach.

    • ACKNOWLEDGMENT

      These are the General Terms and Conditions governing the use of the Service (as defined below) that operates between the Users and the Company. These General Terms and Conditions set out the rights and obligations of all Users regarding the use of the Service.

      The access to and use of the Service (as defined below) is conditioned upon the Users' acceptance of and compliance with these General Terms and Conditions. These General Terms and Conditions apply to all visitors, Users, coaches and others who access or use the Service (as defined below)

      By accessing or using the Service (as defined below), You agree to be bound by these General Terms and Conditions. If you disagree with any part of these General Terms and Conditions then You may not access the Service (as defined below).

      Your access to and use of the Service (as defined below) is also conditioned on their acceptance of and compliance with the privacy policy of the Company. Our privacy policy describes Our policies and procedures on the collection, use and disclosure of Your personal information when You use the Application or our website and tells You about Your privacy rights and how the law protects You.

    • Services

      HELPS is a marketplace that matches Clients seeking coaching services to qualified coaches (the “Coach (es)”).

      We provide the Coaches with the ability to build a profile on the platform, schedule calls, and receive payments, as well as use other coaching tools. We also provide the Clients with the ability to build a profile,match with a Coach, browse through Coaches, schedule calls and pay them (the “Service(s)”).

      The Coaches don’t have direct access to the Clients who build a profile on HELPS unless the Client reaches out to them.
      It should be noted that:

      The Services are purely IT and SaaS in nature (i.e. access the Application as a technology platform);

      The Services are logistical in that they enable the Clients of the Application to arrange and schedule coaching sessions with Coaches also using the Application; The Coaches are independent contractors who are not employees of HELPS or any of its affiliates. It being understood that Coaches are freelancers working on their own behalf, hired by Clients.

      HELPS does not have any control over the quality, timing or legality of the Services actually delivered to the Clients, nor of the integrity, responsibility or actions of the Coaches and/or the Clients.

      HELPS does not make any representations about the suitability, reliability, timeliness and accuracy of the Services provided by Coaches or the integrity, responsibility or actions of Clients. HELPS does not assume any responsibility for the accuracy or reliability of any information provided by Clients or Coaches on or off the Application. Clients will remain responsible for selecting the appropriate Coaches for their specific needs.

      Upon communication initiation by a Client with a Coach, the Client and the Coach will be deemed to have entered into an agreement under which the Client agrees to use the booked session(s) and the Coach agrees to attend the session(s). The Client and the Coach agree not to enter into any contractual provisions in conflict with such agreement.

      For the avoidance of doubt, HELPS has no responsibility for enforcing any rights under any agreement concluded between the Client and the Coach.
